Terms, Cancellations & Fees:
You acknowledge that you are signing up for a Palace Spa's Membership Program. The 1-year trial membership program cannot be canceled, and the recurring monthly plan can be canceled with a 1-week notice. Your membership dues of the displayed amount plus any applicable taxes will be due on the day of signup, and recurring fees will occur on the same day next month(Applies to VIP membership and Royal Membership ONLY). A valid credit or debit card is needed to sign up. Membership fees cannot be paid for with a gift card. Memberships are nontransferable and nonrefundable.

Palace Spa Membership includes 20% off on Full Body Massage. Royal Membership includes 30% off on Full Body Massage. (DISCOUNT VARIES DEPENDING ON MEMBERSHIP STATUS)

We agree to sell and you agree to purchase the membership, goods, and services described herein. You agree to pay us for the membership, goods, and services according to your plan selection and terms above. Your payment for these services indicates your agreement to be bound by the terms, conditions, rules, and regulations of this agreement. All of the terms and conditions in this agreement, as well as those contained in the "terms and conditions" section on our website, are a part of this agreement. All buyers and members singing this agreement are equally responsible for paying it in full.
Arbitration:
You acknowledge that the exclusive method for resolving any controversy, dispute, or claim arising out of or with respect to my Palace Spa Trial Membership Program, including the construction and scope of this agreement, shall be by Binding Arbitration. Such arbitration shall be before and in accordance with the rules and regulations of the American Arbitration Association. Any arbitration shall be held in Concord, California, and the parties hereby waive any objections that they may have based on improper venue or foreign inconvenient. The Arbitrator or Arbitrators shall apply the laws of the State of California, without regard to the conflicts of law principles of each state.
Member and Palace Spa agree to bring any Dispute against the other party in our respective individual capacities and not as a plaintiff or class member in any purported class, representative proceeding or as an association. In addition, we each agree that disputes shall be arbitrated only on an individual basis and not in a class, consolidated or representative action. THE ARBITRATOR DOES NOT HAVE THE POWER TO VARY THESE PROVISIONS.
Member and Palace Spa agree to waive any right to a trial by jury. Notwithstanding anything to the contrary in this Agreement, either party may bring suit in court seeking an injunction or other equitable relief arising out of or relating to claims that the other party’s conduct may cause the other irreparable injury. In the event Palace Spa is the prevailing party in any Dispute, subject to any exceptions, Member shall pay Palace Spa all reasonable attorneys’ fees and costs incurred by Palace Spa in connection with any Dispute.
To the extent allowed under applicable law, Member agrees to defend, indemnify and hold Palace, its affiliates and related entities, and any of its respective officers, directors, agents, and employees, harmless from and against any claims, lawsuits, investigations, penalties, damages, losses or expenses (including but not limited to reasonable attorneys’ fees and costs) arising out of or relating to any breach or alleged breach by Member of this Agreement, or the representations and warranties made in this Agreement.
